These Terms & Conditions govern all use of xfmrdirect.com and all commercial transactions with XFMR Direct LLC (“XFMR Direct,” “we,” “us”). By accessing this website or placing an order, you agree to be bound by these terms in their entirety. If you do not agree, do not use this website or place orders with us. These terms should be read together with our Returns & Refunds Policy and any documentation provided at the time of quotation or order.

Agreement to Terms

By using this website you confirm that you are at least 18 years old, have authority to enter binding agreements, and accept these terms without modification. We may update these terms at any time; continued use after a change constitutes acceptance of the revised terms.

Intellectual Property & License

All content on this website — text, graphics, logos, product descriptions, images, and documentation — is the property of XFMR Direct LLC or its suppliers and is protected by applicable intellectual-property laws. You are granted a limited, non-exclusive, non-transferable license to use this website for lawful personal or commercial inquiry only. You may not copy, republish, distribute, sell, or otherwise exploit any content without our prior written consent.

Part 2 — Commercial Terms

Entire Agreement & Order of Precedence

These terms, together with any written quotation or order acknowledgment we issue, are the entire agreement between the parties for the order and supersede all prior negotiations. Any additional or different terms in a customer purchase order or other document are rejected and do not become part of the agreement unless we agree in writing. Beginning fulfillment does not constitute acceptance of customer-submitted terms.

Orders & Acceptance

All orders are subject to acceptance by XFMR Direct and to product availability. Orders for standard parcel and LTL shipments within the contiguous United States are accepted upon payment, and the checkout total — including freight — is final. Oversize, flatbed, and international pallet orders are treated as quote requests requiring your explicit approval before any charge is finalized or the order ships. We may decline or cancel any order — including for obvious pricing or description errors — and will refund amounts paid for a cancelled order.

Pricing

Prices and specifications may change without notice. Quoted prices are valid for the period stated on the quotation, or 30 days from issue if no period is stated. All prices are exclusive of applicable taxes and freight unless expressly stated otherwise.

Payment

Payment is due at checkout via the methods offered, or per the terms on your quotation or order acknowledgment. Where credit terms have been separately approved in writing, past-due amounts may accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower, and we may suspend shipment until accounts are current. Approval of credit on one order does not obligate us to extend credit on future orders.

Taxes

You are responsible for all applicable sales, use, and other taxes. Where we are required to collect tax, it is added to the invoice. Customers claiming exemption must have a valid exemption certificate on file before tax-free checkout applies.

Product Specifications & Images

Some product images are renderings or representative photos that may not reflect the exact configuration of a completed unit. All products are sold to the written specification listed — not to any image shown. An image or dimensional approximation does not constitute grounds for a return or dispute. Some units may be built with available materials that meet the electrical specification but vary within reasonable dimensional tolerances; we prioritize functional and electrical accuracy.

Shipping & Risk of Loss

Unless otherwise agreed, shipments are FOB origin: title and risk of loss pass to you on delivery to the carrier. Delivery dates are estimates and not guaranteed. Freight charged at checkout is final for standard parcel and LTL shipments within the contiguous United States. If an oversize, flatbed, or international pallet order cannot be accurately auto-rated at checkout, we will provide a corrected freight quote for your explicit approval before dispatch; if you do not approve it, we will cancel the order and promptly issue a full refund.

Acceptance of Goods, Damage & Shortages

Inspect all goods promptly on delivery. Goods are deemed accepted if you do not give written notice of non-conformance within three business days of delivery. Signing a Bill of Lading or delivery receipt without noting visible damage constitutes acceptance in the condition received and waives your ability to file a carrier damage claim. Shortages must be reported in writing within 1–3 business days of receipt. See our Returns & Refunds Policy for details.

Product Use

Products must be installed by qualified personnel in accordance with the supplied wiring diagram, nameplate ratings, and applicable electrical codes. You are responsible for confirming a product’s suitability for your application; sizing tools, calculators, and comparison information on this site are aids, not engineering advice.

Cancellations & Repairs

Cancellations are governed by our Returns & Refunds Policy. If a product is sent to us for evaluation or repair and you decline the quoted repair cost, you are responsible for return shipping; we will not retain a declined item beyond 30 days without written instruction.

Warranty & Disclaimer

Products are warranted against defects in materials and workmanship under the applicable manufacturer’s warranty stated in the product documentation. EXCEPT AS EXPRESSLY STATED, PRODUCTS ARE PROVIDED “AS IS” AND WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TO THE FULLEST EXTENT PERMITTED BY LAW. Warranty does not cover damage from improper installation, incorrect wiring, overloading, unauthorized modification, or use outside rated specifications.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO ANY ORDER, PRODUCT, OR SERVICE SHALL NOT EXCEED THE PURCHASE PRICE PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, PRODUCTION DOWNTIME, OR COSTS OF SUBSTITUTE EQUIPMENT, REGARDLESS OF THE LEGAL THEORY AND EVEN IF ADVISED OF THE POSSIBILITY.

Indemnification

You agree to indemnify and hold harmless XFMR Direct LLC, its officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorney fees) arising out of your misuse, improper installation, or unauthorized modification of any product; your failure to follow applicable installation, maintenance, or safety standards; any third-party claim arising from your use or resale of products purchased from us; or your breach of these terms.

Waiver & Severability

Our failure to enforce any provision is not a waiver of our right to enforce it later. If any provision is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions remain in full force.

Part 3 — Government & Government-Funded Projects

Where products are supplied for a government-funded or federally regulated project, the customer must identify any applicable flow-down requirements — such as Federal Acquisition Regulation (FAR/DFARS) clauses, Buy American Act or domestic-content requirements, or NDAA Section 889 obligations — in writing at the time of the order. We will make reasonable efforts to support compliance when given adequate notice but cannot guarantee compliance with requirements not disclosed in advance. Where a mandatory federal requirement conflicts with these terms, the federal requirement controls only to the extent required by law.

Part 4 — Legal Terms

Governing Law & Venue

These terms and all transactions under them are governed by the laws of the State of New Mexico, without regard to its conflict-of-law rules. The exclusive venue for any proceeding arising out of or related to these terms or any order shall be a court of competent jurisdiction located in Bernalillo County, New Mexico, and both parties consent to personal jurisdiction there.

Waiver of Jury Trial

To the fullest extent permitted by law, the customer waives any right to a jury trial in connection with any dispute arising out of or related to these terms or any transaction with XFMR Direct.

Attorney Fees

In any legal dispute between the customer and XFMR Direct, the prevailing party is entitled to recover its reasonable attorney fees and court costs.

Force Majeure

Neither party is liable for delays or failures in performance caused by events beyond its reasonable control, including acts of God, natural disasters, fire, flood, pandemic or public-health events, war, terrorism, civil unrest, strikes, government action, supply-chain disruptions, raw-material shortages, or transportation failures. Force majeure does not excuse a customer’s obligation to pay amounts already due.

Confidentiality

Any proprietary specifications, drawings, pricing, or technical information shared in connection with a quotation or order is confidential and will not be disclosed to third parties without the disclosing party’s prior written consent, except as required by law.
